Terms of Service

These Terms of Service apply to the NoonBridge website, Data Readiness Snapshot requests, sample report reviews, pilots, customer portal access, dashboards, exports, and related services.
NoonBridge is operated by Bobook Limited, an Irish company registered under company number 785764, with registered office at Venture Hub, 136 Capel Street, Dublin 1, Dublin, D01 T2C9, Ireland.
By accessing the website, submitting sample reports, requesting a snapshot, or using NoonBridge, you agree to these Terms.
If you are using NoonBridge on behalf of a company, vessel operator, ship manager, or other organisation, you confirm that you have authority to act on behalf of that organisation.
1. NoonBridge service
NoonBridge provides a business-to-business data preparation service for vessel noon reports.
The service may include:
- Receiving or reviewing noon report emails, files, and attachments
- Parsing report formats such as Excel, PDF, CSV, TXT, EML, and email body content
- Extracting operational and voyage-related fields
- Normalising data across report formats
- Identifying missing, inconsistent, unusual, or low-confidence fields
- Producing validation alerts
- Providing dashboards, exports, and Data Readiness Snapshots
- Supporting pilot workflows and customer report processing
NoonBridge is designed to work with reports that the customer’s office already receives. The MVP workflow does not require crew to install a new app, log into a new crew portal, or change onboard reporting software.
2. Data preparation only
NoonBridge is a data preparation and operational visibility service.
NoonBridge is not a class society, verifier, legal adviser, emissions verifier, flag-state authority, regulatory authority, or official regulatory submission platform.
NoonBridge does not provide legal advice, regulatory advice, navigation advice, safety advice, or official compliance certification.
Any outputs, snapshots, dashboards, alerts, exports, or recommendations are provided to support customer review and internal workflows. Final decisions, verification, regulatory interpretation, reporting, filing, submission, and compliance remain the responsibility of the customer and its appointed advisers, verifiers, or service providers.
3. Data Readiness Snapshot
A Data Readiness Snapshot is a limited diagnostic based on the sample reports or information provided by the customer or prospect.
It may show:
- Which fields appear extractable
- Which fields appear missing or inconsistent
- Potential validation alerts
- Format complexity
- Pilot suitability
- Suggested next steps
A snapshot is not a legal assessment, class assessment, regulatory assessment, audit, certification, or guarantee of future extraction accuracy.
A snapshot is based only on the files and information reviewed. It may not reflect all vessels, all templates, all edge cases, or future report format changes.
4. Customer responsibilities
The customer is responsible for:
- Ensuring it has the right to submit reports, files, emails, and data to NoonBridge
- Removing sensitive information before submitting sample reports where appropriate
- Reviewing all extracted data, alerts, dashboards, and exports before relying on them
- Confirming the accuracy of operational, fuel, ROB, voyage, emissions-related, or reporting data
- Maintaining its own records and backups
- Deciding how NoonBridge outputs are used in operational or reporting workflows
- Ensuring that final regulatory, verifier, class, flag, commercial, and contractual obligations are met
NoonBridge may flag issues, but the customer remains responsible for final review and use of the data.
5. Customer data ownership
Customers retain ownership of their uploaded reports, report emails, attachments, extracted data, dashboard data, exports, and related operational information.
By submitting data to NoonBridge, the customer grants NoonBridge the limited right to process that data as necessary to provide the service, prepare snapshots, support pilots, improve extraction for that customer, maintain security, and meet legal or contractual obligations.
NoonBridge does not sell customer report data.
NoonBridge does not publish raw customer reports or expose customer report data publicly.
Unless expressly agreed in writing, NoonBridge does not use customer report data to train public or general-purpose AI models.
6. Confidentiality
Each party may receive confidential information from the other party. Confidential information includes customer noon reports, extracted vessel data, commercial information, technical materials, pricing, credentials, pilot information, and non-public business information.
The receiving party must use confidential information only for the purposes of the relationship and must take reasonable steps to protect it from unauthorised use or disclosure.
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, lawfully received from a third party, or required to be disclosed by law.
7. Access and accounts
If NoonBridge provides customer portal access, the customer is responsible for keeping login credentials secure and ensuring that only authorised users access the service.
The customer must notify NoonBridge promptly if it becomes aware of unauthorised access or suspected misuse.
NoonBridge may suspend access where reasonably necessary to protect the service, prevent misuse, investigate security concerns, comply with law, or address unpaid fees.
8. Acceptable use
You must not use NoonBridge to:
- Upload data you do not have the right to provide
- Attempt to access another customer’s data
- Interfere with the security, availability, or integrity of the service
- Reverse engineer, copy, or misuse NoonBridge systems except as permitted by law
- Submit malicious code, malware, or harmful files
- Use outputs for unsafe navigation, vessel operation, emergency response, or safety-critical decisions
- Use the service unlawfully or in violation of third-party rights
9. Availability and changes
NoonBridge aims to provide a reliable service, but we do not guarantee uninterrupted or error-free availability.
We may improve, modify, suspend, or discontinue features from time to time. Where changes materially affect paying customers, we will use reasonable efforts to provide notice.
10. Fees and payment
If fees apply, they will be set out in an order form, proposal, invoice, subscription page, or separate agreement.
Unless otherwise agreed, fees are exclusive of applicable taxes, bank charges, and payment processing fees.
Failure to pay applicable fees may result in suspension or termination of access.
11. Third-party services
NoonBridge may rely on third-party infrastructure, hosting, storage, email, analytics, OCR, automation, AI, security, and communication providers to operate the service.
NoonBridge is not responsible for third-party services outside its reasonable control, but it will use reasonable care in selecting service providers that support the operation and security of the service.
12. Warranties and disclaimers
NoonBridge provides the website, snapshots, pilots, dashboards, alerts, exports, and services on an “as is” and “as available” basis, except where expressly agreed otherwise in writing.
We do not guarantee that every report format, field, attachment, vessel template, historical report, or future report change can be parsed accurately.
We do not guarantee that every data issue, missing field, anomaly, or inconsistency will be detected.
NoonBridge outputs should be reviewed by qualified customer personnel before operational, commercial, compliance, or reporting use.
13. Limitation of liability
To the maximum extent permitted by law, NoonBridge and Bobook Limited are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, loss of revenue, loss of business opportunity, loss of data, business interruption, or regulatory penalties arising from use of the service.
To the maximum extent permitted by law, the total aggregate liability of NoonBridge and Bobook Limited for claims relating to the service is limited to the fees paid by the customer to NoonBridge for the service giving rise to the claim in the 12 months before the event giving rise to liability.
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where applicable.
14. Termination
Either party may stop using or providing the service as set out in the applicable order form, subscription, proposal, or written agreement.
NoonBridge may suspend or terminate access if the customer materially breaches these Terms, fails to pay fees, misuses the service, creates security risk, or uses the service unlawfully.
Upon termination, the customer may request export or deletion of customer data, subject to technical, legal, backup, contractual, and security requirements.
15. Data protection
The NoonBridge Privacy Policy explains how personal data is processed.
Where NoonBridge processes personal data on behalf of a customer, the NoonBridge Data Processing Addendum may apply, unless the parties agree otherwise in writing.
16. Governing law and jurisdiction
These Terms are governed by the laws of Ireland.
The courts of Ireland have exclusive jurisdiction over disputes relating to these Terms, unless mandatory law requires otherwise.
